    Corporate Governance

    GRI 2-9

    Tramontina’s governance structure organizes its strategic matters among the Family, Shareholders, and Board of Directors Councils. The Board of Directors consists of five members appointed by the controlling holding companies, with three-year terms, the possibility of re-election, and an advisory board member. It is currently chaired by Eduardo Scomazzon, with Ricardo Tramontina as Vice Chairman and Clovis Tramontina as Advisory Board Member.

     

    In 2025, the Company strengthened its governance with the creation of the Corporate Executive Board, led by CEO Marcos Tramontina and composed of directors Giovane Capitani (Administrative and Finance), César Umberto Vieceli (Domestic Market), and Jandir Vitório Brock (International Market).

    Corporate and Sustainability Advisory

    GRI 2-9

    Tramontina’s committees align strategic demands and recommend management practices in accordance with the Sustainability Policy, preventing conflicts of interest and strengthening the integrity of operations. Made up of professionals from different areas and hierarchical levels, they support communication and reporting to the Board of Directors.

     

    The ESG, Environmental, Human Resources, Finance, and Ethics Committees monitor economic, social, and environmental matters through performance indicators. The Procurement, IT, Accounting and Tax, Endomarketing, Occupational Health and Safety, Training, and AEO Committees contribute to more qualified management and agile decision-making, strengthening corporate governance across all areas of operation.

    Integrity is one of Tramontina’s pillars and strengthens the trust of employees, customers, partners, and the market. To ensure ethical and secure business practices, we prioritize transparency, compliance, and the mitigation of operational, reputational, and financial risks in our processes.

     

    Our activities are guided by the Code of Conduct, presented during onboarding and reinforced periodically. Our anti-corruption culture is supported by specialized consulting firms, continuous compliance monitoring, and a secure and confidential Ethics Channel for reporting concerns and complaints.

    Data and Information Security

    Tramontina operates in compliance with the LGPD and other data protection regulations, supported by its Information Security and Privacy policies. Through the Tramontina Service Center (CAT) and its partners, the company provides fast and reliable service, protecting consumer information and strengthening trust in the brand.

     

    Information security management is continuously improved based on international standards, such as ISO 27001, as well as monitoring through indicators and audits, ensuring data protection and the effectiveness of the practices adopted.

    Tax and Fiscal Responsibility

    Tramontina’s tax practices are guided by the Code of Conduct and supervised by the Board of Directors, Executive Boards, and the Finance Committee. Through independent audits, continuous monitoring of legislation, and reporting channels, we maintain transparent operations, prioritizing tax compliance and risk mitigation.

     

    Governance is strengthened by participation in the tax committees of FIERGS and SIMECS, ensuring integrity in operations, alignment among stakeholders, and continuous monitoring through legal compliance indicators.

      Supplier Management

      GRI 2-6

      For more than 40 years, Tramontina has maintained decentralized supplier management, strengthening strategic partnerships and the development of the local and regional supply chain. Our supply chain includes suppliers of raw materials, fixed assets, services, security, and technology, with key materials such as steel, aluminum, and resins standing out.

       

      To ensure operational integrity, we require our partners to comply with the Code of Conduct and adopt confidentiality and data protection clauses. The performance of direct-material suppliers is monitored through the Supplier Qualification Index (IQF), which assesses criteria such as technical compliance, tax accuracy, and delivery efficiency.

      Socio-Environmental Assessment of Suppliers

      Tramontina monitors its supply chain by requiring licenses, reports, and certificates that demonstrate the quality of materials and services. It also adopts criteria aligned with environmental, labor, and human rights legislation and guidelines, maintaining relationships only with partners who share these principles.

       

      The documentation control of service providers strengthens operational safety and respect for labor rights. In its Sustainability Policy, Tramontina reaffirms its commitment to continuously improving socio-environmental criteria for supplier selection and due diligence processes.

      Sustainable Innovation

      The commitment to doing beautifully and doing things well guides Tramontina’s product development, in alignment with the Sustainability Policy. R&D, engineering, quality, and environmental teams work together to create solutions aligned with user needs and global trends.

       

      The Innovation, Research and Development Centers (CIPeDs) support the creation of new products, materials, and technologies, promoting the circular economy, the efficient use of raw materials, and the reduction of resource extraction. In this way, Tramontina drives sustainable innovation, expands carbon reduction projects, and monitors its progress through management indicators.
